In these Terms and Conditions:
These Terms and Conditions apply to all services provided by the Company to the Client. By requesting or using the Company's services, the Client accepts and agrees to be bound by these terms. Any variation must be agreed to in writing by the Company.
The Company will provide the Services described in the applicable service agreement or proposal. The scope, deliverables, and timelines will be as set out in the written agreement between the parties. The Company reserves the right to adjust service delivery timelines where delays are caused by the Client's failure to provide required information or approvals.
Our services come with guarantees that cannot be excluded under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)). Where the Company supplies services to a consumer (as defined by the Australian Consumer Law), the following applies:
Nothing in these terms excludes, restricts, or modifies any rights that the Client may have under the Australian Consumer Law or any other applicable law that cannot be excluded or modified.
To the maximum extent permitted by law, and subject to any non-excludable rights under the Australian Consumer Law:

Each party agrees to keep confidential all information received from the other party that is designated as confidential or that ought reasonably to be considered confidential. This obligation survives the termination of the Agreement and continues for a period of two (2) years after termination.
If a dispute arises out of or relates to the Agreement, the parties agree to attempt to resolve the dispute in good faith through negotiation. If the dispute cannot be resolved within 30 days, either party may refer the matter to mediation in Perth, Western Australia, before commencing any legal proceedings.
These Terms and Conditions are governed by and construed in accordance with the laws of the State of Western Australia. The parties submit to the exclusive jurisdiction of the courts of Western Australia.
The Client indemnifies the Company against all losses, damages, costs, and expenses (including legal costs on a solicitor-client basis) arising from or in connection with any claim made by a third party arising out of the Client's use of the Services, except where the loss is caused by the Company's negligence or breach of the Agreement.
Neither party will be liable for any failure or delay in performing its obligations under the Agreement where such failure or delay results from circumstances beyond that party's reasonable control, including but not limited to natural disasters, pandemics, government actions, or industrial action.
If any provision of these Terms and Conditions is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be deemed replaced by a valid provision that most closely reflects the intention of the original provision.
The Company may vary these Terms and Conditions from time to time. Any variations will be communicated to the Client in writing and will take effect from the date specified in the notice. Continued use of the Company's services after such notice constitutes acceptance of the variation.
These Terms and Conditions, together with any service agreement or proposal, constitute the entire agreement between the parties and supersede all previous negotiations, representations, and agreements relating to the subject matter.
